Operational Transparency Board — End User License Agreement
Version 1.0 — effective September 17, 2026
This End User License Agreement ("Agreement") is between you ("Licensee") and the seller ("Licensor") and governs your use of the Operational Transparency Board software ("Software"). Purchasing, downloading, or activating the Software constitutes acceptance of this Agreement.
1. License grant
Upon payment and delivery of a valid license key, Licensor grants Licensee a perpetual, non-exclusive, non-transferable license to install and run one (1) production instance of the Software per license key, together with reasonable non-production copies (staging/test) used by the same team.
Running additional production instances requires additional licenses.
2. Permitted use
Licensee may:
- Install and run the Software on infrastructure Licensee controls or rents (own servers, cloud VMs, containers).
- Modify the Software for Licensee's own internal use.
- Allow unlimited internal users and unlimited public read-only visitors on the licensed instance — licensing is per instance, not per seat.
3. Restrictions
Licensee may not:
- Redistribute, sublicense, resell, or publish the Software or derivative works of it, in source or binary form.
- Share the license key outside Licensee's organization.
- Use the Software to operate a commercial status-hosting service for third parties.
4. Ownership
The Software is licensed, not sold. Licensor retains all rights, title, and interest in the Software.
5. License key and activation
A license key is delivered by email after purchase. The Software verifies the key locally, offline; the Software does not transmit usage data to Licensor or any third party. Keys are issued per customer and are not seat-limited within the licensed instance.
If a license key is absent or invalid (including after an expired trial), the Software remains viewable in read-only mode and administrative functions pause until a valid key is activated. Licensee's data is never deleted or corrupted by the license state.
6. Updates and support
- Perpetual license: the version Licensee purchased works indefinitely.
- Optional annual plan ($199/year): entitles Licensee to software updates released during the subscription term and email support.
- If the annual plan lapses, the installed version continues to work with no functional change; only new updates and support requests pause.
- Support is provided by email during the term of an active updates subscription, with best-effort response within two business days.
7. Licensee data
All incident data, configurations, and user information reside entirely on Licensee's own infrastructure. Licensor does not collect, host, or have access to Licensee's data. Licensee is solely responsible for backups (the Software provides automatic local backups; see documentation).
8. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT LICENSEE PAID FOR THE LICENSE. LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
10. Term and termination
This Agreement takes effect upon activation and continues until terminated. Licensee may terminate at any time by ceasing use and deleting the Software. Licensor may terminate if Licensee materially breaches this Agreement and fails to cure within 30 days of notice. Upon termination, Licensee must stop using and delete the Software. Sections 4, 7, 8, 9 survive termination.
11. Governing law
This Agreement is governed by the laws of the State of residence of the Licensor, without regard to conflict-of-law principles.
12. Entire agreement
This Agreement is the entire agreement between the parties regarding the Software and supersedes any prior understandings. Amendments must be in writing signed by both parties.
